Terms of Service

Effective date: September 22, 2026

These Terms of Service (these "Terms") are a legal agreement between Keisuke Uemura ("we," "us," or "our") and the person using ("you" or "user") the macOS, iOS, and iPadOS application "KEISHIKI" and any related services we provide (together, the "Service"). By downloading, installing, or using the Service, you are deemed to have agreed to these Terms. If you do not agree to these Terms, please do not use the Service.

If you use the Service on behalf of a company or other organization, you represent that you have the authority to legally bind that organization, and "you" below includes that organization.

1. Eligibility

You must be at least 13 years old (or the higher minimum age required in your country) to use the Service. By using the Service, you represent that you meet this requirement and that your use of the Service does not violate any law applicable to you.

2. About the Service

KEISHIKI is an application for writing long-form manuscripts. The Service can be used entirely offline, in which case your data is stored only on your own device. The Service also optionally offers account creation and syncing across devices, subject to the storage limits shown in the app and on the pricing screen; some plans require a paid subscription through the App Store.

We may add, change, or discontinue features of the Service at any time. We will make reasonable efforts to provide advance notice of changes that significantly impair a feature you rely on, but we are not obligated to maintain any specific feature indefinitely.

The amount of text that can be entered in a single section is limited to roughly 300 sheets of Japanese manuscript paper (approximately 120,000 characters, or a comparable amount of text in other languages). Entering more than this amount in a single section may prevent it from syncing correctly across devices. If your writing is long, please split it across multiple sections.

3. Accounts

Creating an account is optional. If you create one, you are responsible for managing the email address associated with your account and for all activity conducted through your account. If you suspect unauthorized access to your account, please contact support_keishiki@monodorg.com promptly. We may suspend or delete accounts that violate these Terms, are used fraudulently, or have been inactive for an extended period, in accordance with Section 10.

4. Your Content

All text, memos, and attached images or files that you create or import using the Service (your "Content") remain entirely your own. We claim no ownership of your Content.

To provide the Service, you grant us a limited, non-exclusive, worldwide license to store, transmit, back up, and process your Content to the extent necessary to provide the Service (for example, syncing across your own devices). This license ends when your Content is deleted from our systems, except for copies retained for a reasonable period as part of routine backups, or copies we are required to retain by law.

We do not access, view, or use your Content for any purpose other than providing the Service, except (a) with your explicit consent (for example, when you contact support), (b) where reasonably necessary to detect, prevent, or address fraud, security, or technical issues, or (c) where required by applicable law or a valid legal process.

You are solely responsible for your Content and represent that you have the rights necessary to create, store, and (where applicable) transmit it through the Service. You agree not to create, store, or transmit through the Service any content that (a) infringes a third party's intellectual property, privacy, or other rights, (b) violates a law applicable to you in the place you use the Service, or (c) contains malicious code intended to harm the Service or other users.

5. Backups and Data Loss

We take reasonable measures to protect data stored through the sync feature, but no software or online service can guarantee complete protection against data loss from technical failures, service interruptions, account termination, or other causes. The Service is not a substitute for your own backups. The app includes an export feature (Settings → Export) that lets you save a copy of your entire library to your own device at any time; we strongly recommend using it regularly, especially for manuscripts you cannot afford to lose. To the fullest extent permitted by law, we are not liable for loss of your Content, and Section 12 (Limitation of Liability) applies to any such loss.

6. Subscriptions and Payment

Some storage plans require an auto-renewing subscription purchased through the Apple App Store. Such subscriptions are subject to the following.

We may change the price or content of each storage plan in the future, including price increases. New subscriptions are billed at the price shown at the time of purchase. For an existing subscription, in accordance with Apple's guidelines, we will notify you before a price increase takes effect, and the price will not change during your current subscription period unless you agree. If you do not agree to a price increase, you may cancel your subscription before the next renewal.

If, after downgrading or changing plans, your stored data exceeds the limits of your new plan, we may restrict new uploads until you are back within your plan's limits. We will not delete your Content solely because you exceed a limit, except as described in Section 10 (extended inactivity or account termination).

7. Prohibited Conduct

You agree not to:

8. Intellectual Property

The Service (including its software, design, and branding, but excluding your Content) is owned by us or our licensors and is protected by copyright, trademark, and other laws. Except for the right to use the Service as permitted by these Terms, no rights in the Service itself are granted to you.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that data will not be lost or corrupted.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the exclusions above may not apply to you. You may also have additional rights under the laws of your jurisdiction.

10. Suspension and Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service or your account, with notice where reasonably practicable, if you materially violate these Terms, if required by law, or where reasonably necessary to protect the Service or other users. After termination, your right to use the Service ends, but provisions that by their nature should survive (including Sections 4, 5, 9, and 11–15) remain in effect.

11. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold us harmless from any claims, damages, liabilities, and costs (including reasonable attorneys' fees) arising out of or related to (a) your Content, (b) your breach of these Terms, or (c) your violation of any law or third-party right.

12. Limitation of Liability

To the fullest extent permitted by law, (A) we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages, and (B) our total liability arising out of or related to the Service or these Terms will not exceed the greater of (i) the amount you paid us in the 12 months before the event giving rise to the claim, or (ii) US $20.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or liability for fraud. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

13. Dispute Resolution and Governing Law

Let's talk first. Before bringing a claim against us, you agree to first contact support_keishiki@monodorg.com and describe the dispute, and to attempt in good faith to resolve it informally through discussion. We will respond in good faith as well. Many concerns can be resolved this way.

These Terms, and any dispute arising out of or related to these Terms or the Service, are governed by the laws of Japan, regardless of your country of residence and without regard to conflict-of-law principles. After attempting informal resolution as described above, you and we agree that the Tokyo District Court will have exclusive jurisdiction as the court of first instance over any dispute arising out of or related to these Terms or the Service. Where non-waivable mandatory consumer-protection provisions of your country of residence apply, this section does not override those provisions to the minimum extent necessary.

To the extent permitted by applicable law, you agree that any claim will be brought only in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and make reasonable efforts to notify you, such as within the app or by email. Continuing to use the Service after changes take effect means you accept the updated Terms. If you do not agree to a change, please stop using the Service before it takes effect.

15. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to exercise any right or provision does not waive that right or provision. These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on this subject. You may not assign your rights under these Terms without our consent. We may assign our rights under these Terms in connection with a merger, acquisition, or sale of assets.

You agree to comply with applicable export control and economic sanctions laws in your use of the Service, and you represent that you are not located in, and are not a national or resident of, any country subject to a comprehensive U.S., EU, or Japanese embargo, and are not listed on any applicable restricted-party list.

16. Apple App Store Terms

If you obtained the app from Apple's App Store, the following additional terms apply, and you and we acknowledge the following.

17. Contact

If you have questions about these Terms, please contact support_keishiki@monodorg.com.
